CONSTITUTION OF THE
HAYFIELD SECONDARY ORCHESTRA (HSO) BOOSTERS
ARTICLE I NAME
The name of this organization shall be the Hayfield Secondary Orchestra (HSO) Boosters, hereinafter called the ‘Boosters’. It is established pursuant to the authority of the Principal, Hayfield Secondary School, Alexandria, Virginia. It will be operated as a non-profit, non-partisan, non-sectarian activity in general support of the Hayfield Secondary School Orchestra Program, as approved by the Orchestra Director and the School Principal.
ARTICLE II PURPOSE
The Boosters is organized exclusively for charitable, religious, educational, and scientific purposes, including, for each purpose, the making of distributions to organizations that qualify as exempt organizations under section 501(c)(3) of the Internal Revenue Code, or the corresponding section of any future federal tax code.
ARTICLE III OBJECTIVE
The objective is to support the Hayfield Secondary School seventh through twelfth grade Orchestra Program by providing assistance and support to the Orchestra Director in the form of services, funds, and equipment within its resources. This support will be subject to the approval of the Orchestra Director responsible for the administration of the Hayfield Secondary School Orchestra Program.
ARTICLE IV MEMBERSHIP AND DUES
- Membership will be voluntary and unlimited and classified as follows:
- Active – Active membership is extended to all middle and high school
Orchestra parents, guardians and students.
- Honorary – Honorary membership may be extended by the Boosters to any person in recognition of a worthwhile contribution to the Orchestra Program. Honorary members will be nominated by the Executive Committee and submitted to the general membership for approval. Honorary members will be entitled to all benefits of, participation in, and patronage of, the Boosters, except they shall not vote, hold office, or participate in the management of the Boosters.
- Alumni – Alumni membership is extended to all previous Orchestra parents, guardians and students. Alumni members will be entitled to all benefits of, participation in, and patronage of, the Boosters, except they shall not vote, hold office, or participate in the management of the Boosters.
- Dues will be assessed by the Boosters as established by the Executive Committee with approval of the general membership.
- Voting – Voting members are all ‘active’ Booster members, as defined in Article IV.1.a.
- Non-voting – Non-voting members are all other members.
ARTICLE V OFFICERS AND THEIR ELECTIONS
- Officers will be: President, Vice President, Secretary and Treasurer.
- Officers will be elected each year at the May general meeting. The President will appoint a Nominating Committee to submit a slate of at least one nominee, with the nominee’s consent, for each elective office. The slate of nominees will be presented at the April general meeting. Nominations from the floor can be taken, with nominee’s consent, at either of these two meetings. The term of jurisdiction will be from July 1st of each year to June 30th of the following year.
- Officers must be parents/guardians of Orchestra students.
- Parents who are employed by Fairfax County Public Schools and wish to run for an office of the Boosters should first consider a possible conflict of interest.
- Only one member per family will be allowed on the Executive Committee.
- Elections will be decided by simple majority. Elected officers who must be replaced for any reason during the elected year, will be replaced by presidential appointment subject to confirmation by the general membership at the next scheduled meeting.
ARTICLE VI ADMINISTRATION
- The Executive Committee, consisting of at least two (2) of the four (4) elected officers, will conduct the general membership meetings. Simple majority vote in any meeting resolves the issue.
- General meeting proceedings will be recorded, including the most recent financial reports and other committee reports, as appropriate.
- The rules contained in ‘Roberts Rules of Order’, Copyright 1915, shall govern the Boosters organization in all cases to which they are applicable, unless they are inconsistent with the By-Laws or the special rules or orders of the Boosters.
ARTICLE VII MEETINGS
- Regularly scheduled meetings of the general membership will be held at Hayfield Secondary School five (5) times from September through June.
- Unscheduled meetings of the general membership may be called by the President, upon due notice of at least 24 hours to the general membership.
- Executive Committee meetings will be held at the time and place designated by the President.
ARTICLE VIII COMMITTEES
Chairpersons and members of each committee shall volunteer from the general membership.
ARTICLE IX BY-LAWS
By-Laws will be established as rules for governing and operating the Boosters organization.
ARTICLE X AMENDMENTS
The Constitution and By-Laws may be amended by a majority of voting members present at any general membership meeting, provided the amendments are presented at the preceding monthly meeting for discussion.
ARTICLE XI ADOPTION
This Constitution and By-Laws shall become effective upon adoption by an affirmative vote of a majority of the voting members of the Boosters organization present at the general membership meeting.
ARTICLE XII OPERATION
- No part of the net earning of the Boosters shall be used to the benefit of, or be distributable to its members, trustees, officers, or other private persons, except that the Boosters shall be authorized and empowered to pay reasonable compensation for services rendered and to make payments and distributions in furtherance of the purposes of the Boosters.
- No substantial part of the activities of the Boosters shall be the carrying on of propaganda, or otherwise attempting to influence legislation, and the Boosters shall not participate in, or intervene in (including the publishing or distribution of statements), any political campaign on behalf of or in opposition of any candidate for public office.
- Notwithstanding any other provision of these articles, the Boosters shall not carry on any other activities not permitted to be carried on (a) by an organization exempt from federal income tax under section 501(c)(3) of the Internal Revenue Code or the corresponding section of any future federal tax code, or (b) by an organization, contributions to which are deductible under section 170(c)(2) of the Internal Revenue Code, or the corresponding section of any future federal tax code.
ARTICLE XIII DISSOLUTION
Upon the dissolution of the Boosters, the Executive Committee shall, after paying or making provision for the payment of all the liabilities of the Boosters, distribute assets for one or more exempt purposes within the meaning of section 501(c)(3) of the Internal Revenue Code, or the corresponding section of any future federal tax code, or shall be distributed to the federal government, or to a state or local government, for a public purpose, as the Executive Committee shall determine. Any such assets not so disposed of shall be disposed of by a Court of Competent Jurisdiction of the county in which the principal office of the organization is then located, exclusively for such purposes or to such organization or organizations, as said Court shall determine, which are organized and operated exclusively for such purposes.
